These Terms of Service describe your rights and responsibilities when you use onlygoodsco.com (the "site") or buy from Only Goods Company LLC ("Only," "we," "us"). The site is powered by Shopify, which provides our hosting, payment processing, and related infrastructure.
Please read these terms carefully — they include important information about warranty disclaimers, limitations of liability, and how disputes are handled.
By visiting or buying from the site, you agree to these terms and our Privacy Policy. If you don't agree, don't use the site.
1. Access and account
By using the site, you confirm you're at least 18 years old, or the age of majority in your state of residence. To place an order, you may need to provide contact, billing, payment, and shipping information. You're responsible for keeping that information accurate and current, and for keeping any account credentials secure.
You may not transfer, sell, or assign your account to anyone else.
2. Our products
We try to represent our products accurately on the site, but colors and product appearance may differ from what shows on your screen depending on your device. We don't warrant that the appearance of any product will exactly match how it's depicted online.
We may change product descriptions, discontinue products, or limit quantities at any time, on a case-by-case basis.
3. Orders
When you place an order, you're making an offer to purchase. We reserve the right to accept or decline any order at our discretion. Your order isn't accepted until we confirm it, which typically happens after we receive and process payment.
Please review your order carefully before submitting. We may not be able to accommodate cancellation requests after an order is accepted.
If we don't accept, change, or cancel an order, we'll attempt to notify you using the contact details you provided.
Returns and exchanges are governed by our Refund Policy.
You confirm that your purchases are for personal or household use, not for commercial resale or redistribution, without our prior written consent.
4. Prices and billing
Prices, discounts, and promotions are subject to change without notice. The price for a product is the price in effect at the time you place the order, as confirmed by your order confirmation email. Posted prices don't include shipping or applicable taxes unless explicitly stated.
You agree to provide accurate billing and payment information, and to keep it current. You confirm that any payment method you use is valid, that you're authorized to use it, and that you'll pay all charges incurred at the posted prices.
5. Shipping and delivery
Shipping and delivery times are estimates, not guarantees. We're not liable for delays caused by carriers, customs, weather, or other circumstances outside our control. Once we hand off a package to the carrier, title and risk of loss transfer to you.

6. Intellectual property
The site, including all trademarks, brand elements, text, images, design, and content, is owned by Only Goods Company LLC, its affiliates, or licensors, and is protected by copyright, trademark, and other intellectual property laws.
You may use the site for personal, non-commercial purposes only. You may not reproduce, distribute, modify, publicly display, or create derivative works from any of the content without our prior written consent.
The "Only" name, logo, taglines, and product designs are trademarks of Only Goods Company LLC. You may not use them without our written permission. Other names, logos, and trademarks on the site belong to their respective owners.
7. Third-party links and tools
The site may include links to third-party sites or use third-party tools. We don't control or endorse those sites or tools, and we're not responsible for their content, accuracy, or practices. If you click through to a third-party site, that's your decision and your risk.
8. Relationship with Shopify
Only is powered by Shopify, which enables the site and order processing. However, all sales on the site are made directly with Only Goods Company LLC. Shopify isn't responsible for any aspect of your transactions with us — including any injury, damage, or loss arising from products purchased through the site. You release Shopify and its affiliates from any claims arising from your purchases from us.
9. Privacy
All personal information collected through the site is subject to our Privacy Policy. Because the site is hosted by Shopify, Shopify also processes some of your information; their privacy policy is at shopify.com/legal/privacy.
10. Feedback
If you send us feedback, suggestions, reviews, ideas, or other content (collectively, "Feedback"), you grant us a perpetual, worldwide, royalty-free license to use, reproduce, modify, and display that Feedback for any purpose, including commercial use. You represent that you own the rights to any Feedback you submit and that it doesn't violate anyone else's rights.
We may, but aren't obligated to, monitor or remove Feedback we consider unlawful, offensive, or otherwise objectionable.
11. Errors and inaccuracies
The site may occasionally contain typographical errors, inaccuracies, or omissions related to products, pricing, promotions, or availability. We reserve the right to correct any such errors and to update or cancel orders if information was inaccurate, even after the order was submitted.

14. Disclaimer of warranties
The site and all products are provided "as is" and "as available," without warranties of any kind, express or implied — including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We don't guarantee that the site will be uninterrupted, secure, or error-free.

15. Limitation of liability
To the fullest extent permitted by law, Only Goods Company LLC, its officers, employees, affiliates, and service providers — and Shopify and its affiliates — are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or other intangible losses, arising from your use of the site or any product purchased through it. This applies whether the claim is based in contract, tort, negligence, strict liability, or otherwise — even if we've been advised of the possibility of such damages.
16. Indemnification
You agree to indemnify and hold harmless Only Goods Company LLC, Shopify, and our respective affiliates, officers, employees, and agents from any losses, damages, liabilities, or claims (including reasonable attorneys' fees) arising from (1) your breach of these terms, (2) your violation of any law or third-party right, or (3) your use of the site.
17. Severability
If any provision of these terms is found to be unenforceable, that provision will be enforced to the fullest extent allowed, and the rest of the terms will remain in effect.
18. Waiver and entire agreement
Our failure to enforce any provision of these terms doesn't waive our right to enforce it later. These terms, together with our Privacy Policy and Refund Policy, are the entire agreement between you and Only Goods Company LLC regarding your use of the site, and supersede any prior agreements or communications.
19. Assignment
You may not transfer or assign these terms or any of your rights under them without our written consent. We may assign these terms freely.
20. Governing law
These terms are governed by the laws of the State of New Jersey, without regard to conflict-of-laws principles. You and Only Goods Company LLC consent to the exclusive jurisdiction of the federal and state courts located in Hudson County, New Jersey, for any disputes arising under these terms.
21. Changes to these terms
We may update these terms from time to time. The current version will always be posted on this page, with the "Last updated" date above. Material changes will be communicated as required by law. Your continued use of the site after changes are posted means you accept them.
